Please read these terms carefully before using our Bluetooth authentication platform.

By accessing or using HelpiSecure's services, you agree to be bound by these Terms of Service and our Privacy Policy. If you disagree with any part of the terms, you may not access our services.

1. Definitions

  • "Service" refers to the HelpiSecure Bluetooth authentication platform, including web dashboard, desktop applications, and related services.
  • "Business" refers to the organization or entity that registers for and uses our Service.
  • "Administrator" refers to individuals designated by the Business to manage the account.
  • "Employee" refers to end-users who utilize the Bluetooth authentication feature.
  • "Bluetooth Token" refers to the hardware device used for authentication.
  • "Content" refers to all data, information, and materials uploaded to or accessed through the Service.

2. Account Terms

2.1 Eligibility

You must be at least 18 years old and have the authority to bind your Business to these Terms. By registering, you represent that you have such authority.

2.2 Account Registration

You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your account credentials.

2.3 Account Security

You are responsible for all activities that occur under your account. Notify us immediately of any unauthorized use or security breaches.

2.4 Administrator Responsibilities

Business Administrators are responsible for managing employee access, assigning Bluetooth tokens, and ensuring compliance with these Terms within their organization.

3. Service Usage

3.1 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use our Service for your internal business purposes.

3.2 Acceptable Use

You agree to use the Service in compliance with all applicable laws and regulations. You shall not:

  • Use the Service for any illegal or unauthorized purpose
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any aspect of the Service
  • Use the Service to store or transmit malicious code
  • Share account credentials or Bluetooth tokens with unauthorized users

3.3 Bluetooth Token Management

You are responsible for the proper assignment, tracking, and deactivation of Bluetooth tokens within your organization. Report lost or stolen tokens immediately.

4. Payments and Billing

4.1 Subscription Fees

Service is provided on a subscription basis. Fees are based on your selected plan and the number of active users/computers. All fees are non-refundable except as required by law.

4.2 Billing Cycle

Subscription fees are billed in advance on a monthly or annual basis. You authorize us to charge your chosen payment method for all applicable fees.

4.3 Price Changes

We may change subscription fees with 30 days' notice. Price changes will not affect current subscription periods but will apply upon renewal.

4.4 Taxes

All fees are exclusive of taxes, which we will charge as applicable. You are responsible for paying all taxes associated with your subscription.

5. Intellectual Property

5.1 Our Rights

HelpiSecure and its licensors own all right, title, and interest in and to the Service, including all intellectual property rights. The HelpiSecure name, logo, and related marks are our trademarks.

5.2 Your Content

You retain ownership of all content you upload to the Service. By using our Service, you grant us a license to use, store, and process your content solely for providing the Service to you.

5.3 Feedback

Any feedback, comments, or suggestions you provide may be used to improve our Service without any obligation to you.

6. Privacy and Data Protection

6.1 Data Processing

We process personal data in accordance with our Privacy Policy. By using our Service, you consent to such processing.

6.2 Security Measures

We implement appropriate technical and organizational measures to protect your data. However, no security system is impenetrable, and we cannot guarantee absolute security.

6.3 Data Ownership

You own all data you submit to the Service. We only access your data to provide, maintain, and improve the Service, and as required by law.

7. Termination

7.1 Term

These Terms remain in effect while you use our Service. You may terminate your account at any time through your account settings.

7.2 Suspension and Termination

We may suspend or terminate your access to the Service immediately if you violate these Terms, fail to pay fees, or engage in activities that may harm our Service or other users.

7.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may permanently delete your data 30 days after termination, though backup copies may persist for longer in accordance with our data retention policy.

8. Disclaimer and Limitations

8.1 Service "As Is"

The Service is provided "as is" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted or error-free.

8.2 Limitation of Liability

To the fullest extent permitted by law, HelpiSecure shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

8.3 Total Liability

Our total liability arising out of or related to these Terms shall not exceed the amount paid by you to us during the six months preceding the claim.

9. General Provisions

9.1 Governing Law

These Terms shall be governed by the laws of the State of California, without regard to its conflict of law provisions.

9.2 Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes. Continued use of the Service after changes constitutes acceptance of the modified Terms.

9.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

9.4 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and HelpiSecure regarding the Service.
